Article I - Name
The Lake States Section of the Technical Association of the Pulp and Paper Industry (TAPPI) shall hereinafter be referred to as the Lake States Section. The terms Executive Committee and officers shall refer to that of the Lake States Section, unless otherwise stated.
Article II - Territory
The Lake States Section shall consist of the areas of Wisconsin and Upper Michigan or any other areas so designated by the Technical Association of the Pulp and Paper Industry.
Article III - Objectives
| a. | Provide activities and opportunities which contribute to an individual's broadened professional perspective through leadership, speaking, writing, planning and executive programs. |
| b. | Provide activities and opportunities which contribute to an individual's technical growth by informing them of new technical developments and by broadening their understanding of existing technology and fields relating to such technology. |
| c. | Provide activities and opportunities which will enable a member to make a greater contribution to their own company and to their community. |
| d. | Provide both a greater number and a greater variety of those activities and opportunities to serve the diverse needs of the members and to merit the active support of company managers. |
| e. | Provide an effective mechanism for communication and association with other technical people on problems of common concern. |
| f. | Provide a mechanism for professional identification and to inform a member's TAPPI colleagues , their company, and their community of the professional and technical achievements. |
| g. | Provide a means for publicizing the objectives and accomplishments of the pulp and paper industry as a whole and to the general public. |
| h. | Encourage research and technical growth in the industry. |
| i. | Provide and effective link between industry and educational institutions, in order to encourage more high- quality people to enter the industry. |
| j. | Establish an internal structure and external liaisons with other sections , committees and groups to enable them to achieve these purposes effectively and efficiently. This structure should provide for the long-term planning as well as regular critical review. |
| k. | Actively support educational institutions that have pulp and paper programs. |
Article IV - Membership
Membership in the Lake States Section shall consist of active members and honorary members.
| Section I | An active member shall be one who is current in dues payment of the Lake States Section. |
| Section II | An honorary member shall be a member who , through long and meritorious service, has been granted life membership in the Lake States Section by action of the Executive Committee. Such membership may be proposed by any member of the Lake States Section by letter to the Lake States Section Chairman. The Lake States Section Chairman shall submit the proposed name to the Executive Committee for approval. |
| Section III | A student member shall be any interested student from any university, college or technical college who is current in Lake States Section dues payment. Students may be designated active members and not placed in a separate category. |
Article V - Dues
The annual dues for active and student members shall be determined by the Executive Committee. Dues are payable to the Treasurer of the Lake States Section and can be paid at any time during the fiscal year (June 1 through May 31). Dues must be paid prior to or concurrent with attendance at a meeting. The dues are applicable to the Lake States Section fiscal year.
| Section I | The elected officers of the Lake States Section shall be a Chairman, a Vice-Chairman, Secretary and Treasurer. Their duties shall be customary ones and conform to the Local Sections Guidance Manual for each office. |
| Section II | All officers shall be members of the Technical Association of the Pulp and Paper Industry. |
| Section III | The term of office will correspond with the fiscal year of the Lake States Section, with officers of the Lake States Section holding office until the successors have been elected and assume office. Vacancies occurring before the annual election may be filled by appointment of the Executive Committee. |
Article VII - Executive Committee
| Section I | The general management of the affairs and property of the Lake States Section shall be vested in the Executive Committee. | |
| Section II | The Executive Committee shall consist of the officers of the Lake States Section, and additional members as authorized by the Lake States Section. The Lake States Section Chairman shall serve as Chairman of the Executive Committee. | |
| Section III | The Executive Committee shall hold office for the fiscal year of the Lake States Section and will hold office until their successors have been elected and assume office. Vacancies occurring before the annual election may be filled by the Executive Committee. Any member of the Executive Committee may be removed for just cause prior to the expiration of their term by a vote of 2/3 of the Executive Committee. | |
| Section IV | a. | To be on the Executive Committee, the member must live within the geographic boundaries of the Lake States Section. |
| b. | Two unexcused absences in one membership year will be grounds to make the Executive Committee member ineligible for reelection the following year. | |
| Section V | The LSOC Representative will be an appointed position to serve on the Association's Local Sections Operations Council. The LSOC Representative shall have been a member of the Executive Committee of the Lake States Section for at least two years prior to election to that office. The LSOC representative will hold that position for at least 2 years, preferably 3 years and should be a Lake State Section Past Chairman. | |
Article VIII - Nominations
| Section I | Nominations for officers and members of the Executive Committee of the Lake States Section shall be made by a nominating committee consisting of three members of the Lake States Section, of whom not more than one shall be on the existing Executive Committee. The nominating committee shall be appointed by the Lake States Section Chairman at least two months before the end of the fiscal year of the Lake States Section. The chairman of the nominating committee, and the only member from the Executive Committee on the nominating committee, shall be the current Lake States Section Vice - Chairman. |
| Section II | The nominating committee's choices shall be announced in writing to the membership of the Lake States Section via regular mail at least fifteen days prior to the end of the fiscal year. |
| Section III | Nominations may be received directly from the membership. Any nominations must have the consent of the nominee and must be supported by the signatures of at least ten members of the Lake States Section. Nominations from the membership should be directed to the chairman of the nominating committee and be in the chairman of the nominating committee hands by April 1. The chairman of the nominating committee will advise the Lake States Section Chairman of the additional nominees so that their names may be included on the printed ballot. |
Article IX - Elections
| Section I | The election of officers and of members of the Executive Committee shall take place yearly by letter ballot before the end of the fiscal year. |
| Section II | Ballots shall be counted by the Lake States Section Secretary and the announcement of the elected officers and members of the Executive Committee will be made through the Lake States Section newsletter at the earliest possible date. |
Article X - Meetings
| Section I | The Executive Committee shall designate the dates of all meetings of the Lake States Section. |
| Section II | One meeting a year shall be designated as the annual meeting. |
| Section III | General meetings of the membership may be called at the discretion of the Executive Committee with 30 days notice to the membership by mail. An agenda of contemplated business shall be included with the notice. |
| Section IV | Those present at the general meeting of the membership represent a quorum if the entire membership has been properly notified. |
Article XI - Committees
| Section I | The standing committees of the Lake States Section shall be as follows: | |
| 1. | Program Committee: Responsible for arranging the entire program at meetings. Headed by the Lake States Section Vice-Chairman who will appoint Lake States Section members as program chairman of individual meetings. | |
| 2. | Communications Committee: Responsible for publicizing the Lake States Section and all communications regarding the Lake States Section. | |
| 3. | Membership Committee: Responsible for recruiting new members and retaining present members. | |
| 4. | Nominating Committee: Responsible for nominations of officers and Executive Committee members. | |
| 5. | Education Committee: Responsible for career guidance activities, scholarships and the continuing education of members as well as contact with colleges and high schools. | |
| 6. | Advisory Committee: Responsible for advising the Lake States Section officers and Executive Committee on special situations and to update and interpret the bylaws. This committee will be made up of the five most recent Past Chairman of the Lake States Section that are willing to participate. | |
| Section II | The Lake States Section Chairman is authorized to appoint other special committees deemed necessary to the Executive Committee. | |
| Section III | All committee chairmen and committee members shall be appointed by the Lake States Section Chairman, unless otherwise stated, subject to the approval of the Executive Committee. | |
Article XII - Approval of Bylaws
The bylaws and changes in bylaws of the Lake States Section shall require the approval of the Local Section Operations Committee prior to the submission to the Lake States Section membership. Subsequent approval by the membership will be by a majority vote of ballots returned.
Article XIII - Amendments
| Section I | Proposed changes may be originated by the Executive Committee or through a petition signed by not less than 20 members of the Lake States Section and presented to the Lake States Section Chairman, who must submit it to a vote of the membership. |
| Section II | These bylaws are to be kept in harmony with the associations constitution and bylaws. Any changes of the association's constitution and bylaws which has a direct bearing on articles contained herein shall be considered as an automatic amendment. It is understood that such changes will have first received a majority approval of the LSOC and that each section will have received an opportunity to voice its opinion of said change. |
Article XIV - Interpretation of Bylaws
Any question as to interpretation of the articles in these bylaws must be put in writing to the Lake States Section Chairman.
Article XV - Dedication of Assets upon Dissolution
Upon dissolution of the Lake States Section and the discharge of its debts and settlement of its affairs, all funds and property of the Lake States Section remaining thereafter shall be dispersed to the endowed scholarships currently funded by the Lake States Section based on the recommendation of the last standing Advisory Committee.
